Specific deliverables, timelines, pricing, and obligations for any engagement are defined in a separate, signed written agreement between you and IWC.

4.How a Working Relationship Begins

Submitting an inquiry through the Site is the first step, not a commitment. The typical sequence is:

1. You submit an inquiry form with your name, email, referrer, and a description of what you need help with.
2. We review the inquiry and, if it appears to be a fit, schedule a scoping call.
3. If both parties want to move forward after that call, we send a written engagement agreement covering scope, pricing, term, deliverables, and payment.
4. Work begins only after that agreement is signed and any required initial payment is received.

When using the Site or communicating with us, you agree not to:

• Submit false, misleading, or fraudulent information.

IWC does not warrant that the Site will be uninterrupted, secure, error-free, free of viruses or other harmful components, or that any defects will be corrected.

11.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IWC, ITS OPERATOR, AFFILIATES, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF IWC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, IWC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless IWC, its operator, affiliates, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the Site; (c) your violation of any law or any rights of a third party; or (d) any content you submit to us.

13.Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Site shall be resolved exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

You and IWC each waive any right to a jury trial. To the maximum extent permitted by law, any claim must be brought on an individual basis only and not as part of a class, consolidated, or representative action.

14.Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections that by their nature should survive termination — including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law — will survive.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes will be communicated more prominently where appropriate. Your continued use of the Site after a change takes effect means you accept the updated Terms.

16.Miscellaneous

These Terms, together with the Privacy Policy and any signed written engagement agreement between you and IWC, constitute the entire agreement between you and IWC regarding the Site. If any provision is held to be unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely.
